Terms of service.

Terms that govern use of Applied IQ and appliediq.ai.

Acceptance of terms.
These terms of service ("Terms") govern your use of the Applied IQ marketing site at appliediq.ai and the Applied IQ beta product at beta.appliediq.ai (together, the "Service"), provided by Applied IQ, Inc. ("Applied IQ," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms and by our privacy policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

Description of service.
Applied IQ is a sales intelligence platform. The Service produces strategic account reports, an interactive deal-intelligence agent, and personalized multi-channel outreach drafts based on inputs you provide. The marketing site explains the product. The beta product is the working software where reports are generated.
The Service is in beta. We may change, add, or remove features at any time. Some features may be unavailable, slow, or imperfect during the beta period.

User accounts.
To use the beta product you need an account. You agree to provide accurate information when you create your account, to keep your credentials secure, and to be responsible for activity that happens under your account. Notify us at info@appliediq.ai if you believe your account has been accessed without your permission.
You must be at least sixteen years old to use the Service.

Acceptable use.
You agree not to:
- Use the Service to violate any law or to infringe the rights of any person or organization.
- Attempt to access parts of the Service you are not authorized to access, or interfere with the Service's operation.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent that this restriction is prohibited by applicable law.
- Scrape, crawl, or harvest data from the Service in bulk without our written permission.
- Use the Service to send unsolicited bulk messages, spam, or other forms of abuse.
- Resell, sublicense, or commercially redistribute the Service or its outputs without our written permission.
- Use the Service to generate content that is unlawful, harmful, defamatory, or that targets individuals for harassment.
We may suspend or terminate access for any user we reasonably believe is violating these rules.

Subscription, fees, and payment.
Applied IQ is in early-customer mode. During the beta period, access is granted on a per-customer basis. Pricing is shaped during a setup call and reflected in a separate written agreement (an order form, statement of work, or email confirmation) before any fees apply. See our pricing page for the current state.
When public pricing tiers are published, this section will be updated to describe billing cycles, payment terms, refunds, and renewal mechanics. Until then, the per-customer agreement governs payment.

Content and data.
Your data.
You own the inputs you provide to the Service (account names, URLs, context you share, and any other materials you upload), and you own the reports, drafts, and other outputs the Service produces from your inputs (together, "Customer Data"). You grant Applied IQ a limited, non-exclusive, worldwide license to host, process, and display Customer Data solely to operate the Service for you and to comply with our legal obligations.
No model training on Customer Data.
We do not use Customer Data to train third-party models, and we do not share Customer Data with third parties except as described in our privacy policy.
Aggregate and de-identified data.
We may use aggregate, de-identified data derived from the Service to improve the product and report on usage patterns. Aggregate data does not identify you, your company, or any account you researched.

Intellectual property.
Applied IQ, including the platform's software, models, prompts, designs, brand, and documentation, is owned by Applied IQ, Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. We reserve all rights not expressly granted.
You retain all rights in Customer Data as described in section 6.
Feedback you send us about the Service is not confidential, and we may use it without obligation to you.

Third-party services.
The Service uses third-party providers for hosting, analytics, scheduling, and underlying AI models. The current list of sub-processors is in our privacy policy. We are not responsible for the practices of third parties, but we vet them before relying on them and update the list when it changes.
The Service may link to third-party websites or contain integrations with third-party tools. Use of those is governed by the third party's own terms and privacy policies.

Warranties and disclaimers.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, Applied IQ disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
The Service relies on AI models that produce outputs based on inputs. Outputs may be incomplete, inaccurate, or out of date. You are responsible for reviewing outputs before relying on them, and for any decisions you make based on them. The Service is not legal, financial, medical, or professional advice.
During the beta period we do not offer service-level agreements (SLAs). We will work in good faith to keep the Service available and reliable, but we make no uptime or performance commitments.

Limitation of liability.
To the maximum extent permitted by law, Applied IQ and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service.
Applied IQ's total cumulative liability arising from or related to these Terms or the Service is limited to the greater of (a) the amount you paid Applied IQ in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (USD 100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply to the maximum extent permitted by law.

Indemnification.
You agree to indemnify and hold harmless Applied IQ and its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party right, or (c) any content or data you submit to the Service.

Termination.
You may stop using the Service at any time. To delete your beta account or your data, email info@appliediq.ai with the subject line "Account deletion."
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if continued access creates a legal or security risk, or if we discontinue the Service. We will give reasonable notice when practicable.
Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnification, and governing law.

Governing law and disputes.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising from or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you and Applied IQ consent to the personal jurisdiction of those courts.
If any law in your jurisdiction grants you the right to bring a claim in a different venue or under different law, that right is preserved to the extent required by that law.

General provisions.
- Entire agreement. These Terms, together with the privacy policy and any written order or agreement between you and Applied IQ, are the entire agreement between you and Applied IQ regarding the Service.
- Severability. If any provision of these Terms is held unenforceable, the rest of the Terms remain in effect.
- Waiver. Our failure to enforce a provision is not a waiver of that provision or of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events outside its reasonable control, including acts of God, network outages, government actions, and infrastructure provider failures.
- Notices. Notices to Applied IQ should be sent to info@appliediq.ai. We will send notices to you by email at the address associated with your account or by posting on the Service.

Changes to these terms.
We may update these Terms from time to time. The "last updated" date at the top of this page reflects the most recent revision. If we make material changes, we will notify customers by email or through the Service before the change takes effect. Your continued use of the Service after the change becomes effective is your acceptance of the updated Terms.
